The Competition Council intervenes in Norlys’ acquisition of Telia Company AB’s Danish activities

The Danish Competition Council approves Norlys a.m.b.a.’s acquisition of Telia Company AB’s Danish activities subject to remedies.

Christian Schultz, Chairman of the Competition Council, says:

We have been concerned that Norlys’ acquisition of Telia Company AB’s Danish activities would harm the consumers who buy fixed broadband connections or mobile services. Norlys’ commitment ensures that service providers who want access to Norlys’ fibre infrastructure, will be granted access on equal and non-discriminatory terms. The commitment removes these concerns and allows us to approve the merger.

The Danish Competition Council has approved that Norlys a.m.b.a. (“Norlys”) acquires Telia Company AB’s Danish activities including mobile services, mobile broadband and television services.

The DCCA had preliminary concerns regarding whether the acquisition would significantly harm competition for fixed broadband connections and mobile services in Denmark.

The concerns have in particular been related to the fact that Norlys add mobile services to its product portfolio. The DCCA’s preliminary investigation showed that the ability to sell mobile services could potentially make it more attractive for Norlys to leverage its strong market position from fibre infrastructure to the broadband market. In addition, Norlys could combine the sale of mobile services and broadband, which potentially would make it more difficult for competitors to compete on the mobile services market.

Norlys has committed to ensure that all service providers, who want access to Norlys’ fibre infrastructure, will be granted access on equal and non-discriminatory terms compared to the terms of Norlys’ own service provider. The commitment removes the DCCA’s competitive concerns, and consequently, the Danish Competition Council has approved the merger subject to this commitment offered by Norlys.
